Total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the amount paid by you to Notus Labs in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Notus Labs and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Services, your violation of these Terms, or your infringement of any rights of a third party.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be resolved through binding arbitration administered in Cleveland County, Oklahoma, except that either party may seek injunctive relief in a court of competent jurisdiction for claims involving intellectual property or confidential information.

Modifications to These Terms

Notus Labs may update these Terms from time to time to reflect changes to the Services, applicable law, or operational practices. Updated Terms take effect upon posting to www.notus-labs.com. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
